1.General Terms
These Terms of Service ("Terms") govern the use of the website samioda.com ("Website") and the services provided by Samioda ("we", "us", "our"), a software development business based in Croatia.
By accessing or using our Website and services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our Website or services.
2.Services
Samioda provides the following services:
• Custom software development (web and mobile applications)
• Business process automation
• UI/UX design and consulting
• Technical consulting and support
The specific scope, deliverables, timeline, and cost of each project are defined in an individual agreement or proposal that is mutually agreed upon before the start of work.
3.Payment Terms
Payment terms are specified in the individual agreement for each project. General conditions include:
• An advance payment (deposit) may be required before the start of work
• Invoices are issued according to the agreed schedule (milestones, monthly, or upon completion)
• Payment is due within the period specified on the invoice (typically 15 days)
• All prices are in EUR unless otherwise agreed
• Late payments may incur interest in accordance with Croatian law
4.Intellectual Property
Upon full payment, the client receives full ownership of the custom-developed code and deliverables created specifically for their project.
Samioda retains rights to:
• Proprietary tools, libraries, and frameworks developed independently
• General knowledge, techniques, and methodologies acquired during the project
• The right to reference the project in our portfolio (unless otherwise agreed)
Third-party components (open-source libraries, fonts, images) are subject to their own license terms.
5.Confidentiality
Both parties agree to maintain the confidentiality of all business information, technical data, and materials exchanged during the collaboration.
Confidential information includes, but is not limited to:
• Business strategies, plans, and financial data
• Technical specifications, source code, and architecture documentation
• User data and analytics
This confidentiality obligation survives the termination of the business relationship.
6.Warranties and Liability
Samioda strives to deliver high-quality work according to agreed specifications. However:
• We do not guarantee that the software will be completely free of errors or defects
• The website and its content are provided "as is" without any express or implied warranties
• We are not liable for indirect, incidental, or consequential damages arising from the use of our services
• Our total liability is limited to the amount paid for the specific service in question
We offer a defect correction period (typically 30 days after delivery) during which we fix bugs at no additional cost.
7.Project Cancellation and Termination
Either party may terminate the agreement with written notice, subject to the following terms:
• Work completed up to the point of cancellation will be invoiced and must be paid
• Any advance payments for undelivered work will be refunded proportionally
• Upon termination, each party must return the other party's confidential materials
• Samioda will provide all deliverables completed up to the point of termination upon receiving full payment for work performed
8.Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of Croatia.
Any disputes arising from these Terms or related services shall be resolved through good faith negotiation. If no resolution is reached, the dispute shall be submitted to the competent court in Zagreb, Republic of Croatia.
For clients in the European Union, this provision does not affect your rights as a consumer under the applicable EU consumer protection regulations.
9.Changes to Terms
We reserve the right to update these Terms of Service at any time. Changes take effect immediately upon being published on this page.
We recommend periodically reviewing this page to stay informed of any changes. Continued use of our services after changes are published constitutes acceptance of the updated Terms.
